Affiliate Program Terms

Version 1.0 — Effective February 8, 2026

These Affiliate Program Terms ("Affiliate Terms") govern your participation in the 1MinuteReel Affiliate Program (the "Program") operated by Designatic, LLC, doing business as 1MinuteReel.com ("1MinuteReel", "we", "us", "our"), a Colorado limited liability company. By joining the Program, you agree to these Affiliate Terms in addition to our Terms & Conditions and Privacy Policy.

1. Program Overview

The 1MinuteReel Affiliate Program allows approved participants ("Affiliates") to earn commissions by referring new paying subscribers to the Service using a unique referral link.

2. Eligibility and Enrollment

To become an Affiliate, you must apply and be approved. We reserve the right to accept or reject any application at our sole discretion. You must be at least 18 years old and have a valid payment method capable of receiving commissions.

Current 1MinuteReel subscribers, content creators, bloggers, and social media educators are encouraged to apply. You do not need to be a paying subscriber to be an Affiliate, but it helps.

3. Commission Structure

Affiliates earn recurring commissions on each referred subscriber for as long as the referred user maintains an active paid subscription:

Commissions are calculated on the net subscription amount after credit card processing fees, payment processor fees, and refunds are deducted. Tier upgrades apply to all referrals, not just new ones — when you hit 11 active referrals, all 11 earn at 25%.

4. Ambassador Program

The Ambassador tier is an invitation-only partnership for coaches, educators, and creators with established audiences. Ambassadors receive 40% recurring commission from their first referral — no tier progression required.

4.1 Qualification. To be considered for the Ambassador program, you must meet at least one of the following:

  • Email list of 10,000+ subscribers
  • Social media following of 25,000+ across platforms
  • Active paid community, course, or membership with 500+ members
  • Demonstrated ability to drive 50+ subscribers based on past affiliate performance

4.2 What Ambassadors receive:

  • 40% lifetime recurring commission on all referrals, calculated on net revenue (after credit card processing fees, payment processor fees, and refunds are deducted)
  • Custom AI prompt templates and outline engines built for your niche (e.g., fitness coaching, real estate, personal branding) — exclusive to your audience
  • Co-branded landing page with your name, photo, and tailored messaging for your community
  • Priority support and a direct line to our team
  • Early access to new features before public release
  • Access to an Ambassador dashboard showing active referrals, commissions, and performance metrics

4.3 Custom pricing. Ambassadors may set their own pricing for their audience, including discounts, bundles, or premium pricing for niche-specific packages. Ambassadors may also set their own refund policies for users they refer, provided the refund window is no shorter than 30 days from the date of purchase. Ambassador commissions are calculated on the net amount actually collected after credit card processing fees, payment processor fees, chargebacks, and refunds are deducted.

4.4 Term and renewal. The initial Ambassador commitment is 3 years from the date of the signed Ambassador agreement. After the initial term, the agreement automatically renews for successive 1-year terms, up to a maximum of 7 option years (10 years total). Either party may choose not to renew by providing 90 days' written notice before the end of the current term. If neither party provides notice, the agreement renews automatically for the next option year.

4.5 Exclusivity. During the term of the Ambassador agreement, Ambassadors agree not to actively promote, endorse, or serve as an affiliate or ambassador for any directly competing short-form video creation platform (including but not limited to tools that combine scripting, teleprompter, recording, captioning, and publishing in a single product). Ambassadors are free to promote non-competing tools and services in adjacent categories (e.g., email marketing, course platforms, CRM, design tools, scheduling tools).

4.6 Attribution. All content created by the Ambassador using the Service — including videos published to social media, embedded on websites, shared in courses, or distributed through any channel — must include a visible "Powered by 1MinuteReel.com" attribution. This attribution must appear either as a text overlay within the video, in the video description or caption, or in the bio/link area of the post. The specific placement and format may be agreed upon in the individual Ambassador agreement, but the attribution must be reasonably visible and not hidden, obscured, or removed. This requirement applies to all content created through the Service for the duration of the Ambassador agreement. Failure to include attribution on a consistent basis may result in a written warning, and repeated failure after warning may be grounds for reclassification or termination of the Ambassador agreement.

4.7 Intellectual property.

Ambassador's IP. The Ambassador retains full ownership of all pre-existing intellectual property they bring to the partnership, including but not limited to: their name, brand, likeness, logo, photographs, coaching frameworks, proprietary methods, teaching systems, course content, and niche-specific expertise (collectively, "Ambassador IP"). The Ambassador grants Designatic, LLC a limited, non-exclusive license to use Ambassador IP solely for the purpose of building custom AI prompt templates, co-branded landing pages, and marketing materials under the Ambassador program. This license terminates when the Ambassador agreement ends.

1MinuteReel's IP. All technical implementation created by Designatic, LLC remains our intellectual property, including but not limited to: source code, platform architecture, AI models, prompt engineering techniques, template structure, and the Service itself. Ambassadors receive a non-exclusive, non-transferable license to use custom tools built for them solely in connection with the Ambassador program. This license terminates when the Ambassador agreement ends.

Nature of AI prompts and templates. Both parties acknowledge that AI prompt templates operate on a spectrum from generic to highly engineered, similar to recipes in culinary arts. The parties agree to the following principles:

  • Ideas are not ownable. General concepts, categories, and common prompt patterns (e.g., "write a hook for a fitness video," "create a call-to-action for real estate") are not proprietary to either party. Neither party may claim exclusive ownership over general ideas, topics, industries, niches, or common approaches to content creation.
  • Specific expression is protectable. The specific creative arrangement, structure, sequencing, parameter tuning, tone instructions, guardrails, and chain-of-thought engineering within a prompt template — the "how" rather than the "what" — may constitute protectable expression. On the Ambassador's side, this includes their unique methodology, step-by-step frameworks, and distinctive teaching language. On 1MinuteReel's side, this includes the technical prompt engineering, system architecture, and implementation that makes the template function within the platform.
  • Trade secret treatment. Both parties agree to treat the specific details of custom prompt templates as confidential trade secrets during the term and for 24 months after termination. Neither party shall disclose the specific prompt language, structure, or engineering to third parties. Trade secret protection applies to the specific implementation, not to the underlying ideas or general approaches.
  • Independent creation. Both parties acknowledge that similar or overlapping prompts, templates, and approaches may exist or be independently created by third parties, other Ambassadors in different niches, or the general public. Neither party will assert intellectual property claims against the other for content that could reasonably have been independently developed. The existence of similar prompts elsewhere does not constitute a breach of these terms.
  • AI output is not owned by either party's prompts. The output generated by AI models in response to prompts is not guaranteed to be unique, original, or proprietary. Neither party claims ownership over AI-generated output solely by virtue of having created the prompt that produced it. Users own the content they create using the Service, as set forth in our Terms & Conditions.

No cross-use. Designatic, LLC shall not take an Ambassador's proprietary frameworks, methods, or distinctive teaching systems and make them available to another Ambassador, affiliate, or user — whether directly, in modified form, or as the basis for another niche-specific offering — without the original Ambassador's prior written consent. This protection applies to the Ambassador's unique methodology and creative expression, not to general industry concepts or common content approaches that any party could independently develop.

On termination. Upon termination of the Ambassador agreement: (a) Designatic, LLC will cease using all Ambassador IP (name, brand, likeness, frameworks, distinctive methods) within 30 days and remove it from all co-branded pages, marketing materials, and custom tools; (b) the Ambassador will cease using all 1MinuteReel IP, including custom prompt templates and technical tools, immediately; (c) the trade secret obligations survive for 24 months; (d) neither party may represent an ongoing relationship after termination; (e) Designatic, LLC retains the right to use general prompt engineering techniques and platform capabilities developed during the partnership, provided they do not incorporate the Ambassador's specific proprietary frameworks or methods.

No reverse engineering. Ambassadors shall not reverse-engineer, decompile, disassemble, or attempt to derive the source code, algorithms, AI models, prompt engineering, or underlying technology of the Service. This obligation survives indefinitely.

4.8 Non-solicitation. During the term and for 12 months after termination, Ambassadors agree not to directly or indirectly solicit, recruit, or encourage users they referred to 1MinuteReel to cancel their subscriptions or migrate to a competing platform. All referred users are customers of 1MinuteReel. The Ambassador relationship does not create any ownership interest in or right to the customer relationship, customer data, or subscriber list.

4.9 Customer data and ownership. All users referred by an Ambassador are customers of Designatic, LLC. We own all customer data, account information, and subscriber relationships. Ambassadors may not access, export, or use customer data for any purpose outside of the Ambassador program. Ambassadors may access aggregate performance data (total referrals, active subscribers, commission earned) through their Ambassador dashboard.

4.10 Minimum performance. To maintain Ambassador status, Ambassadors must maintain a minimum of 25 active referred subscribers after the first 12 months of the agreement. If the Ambassador falls below this threshold for two consecutive quarters, we may, at our discretion, reclassify the Ambassador to the standard affiliate tier or terminate the Ambassador agreement. We will provide 30 days' written notice before any reclassification.

4.11 Termination and transition. Upon termination or non-renewal of the Ambassador agreement:

  • The Ambassador must immediately cease using co-branded materials, custom landing pages, and any 1MinuteReel marketing assets
  • Custom AI prompt templates and niche-specific tools will be deactivated for the Ambassador's audience within 60 days (referred users will transition to standard 1MinuteReel templates)
  • Commissions that have cleared the evaluation period will be paid out in the next payment cycle
  • Referred users remain 1MinuteReel customers — they are not transferred, redirected, or released to the Ambassador or any competing service
  • The non-solicitation obligation (Section 4.8) survives for 12 months after termination
  • The intellectual property obligations (Section 4.7) govern the separation of Ambassador IP and 1MinuteReel IP as described therein
  • The no reverse engineering obligation (Section 4.7) survives indefinitely

All Ambassador partnerships are formalized in a separate signed Ambassador agreement that incorporates these terms and may include additional terms specific to the partnership. To apply or inquire, contact us at [email protected].

5. Referral Tracking and Attribution

Referrals are tracked via your unique affiliate link. A referral cookie is stored for 90 days. If a visitor clicks your link and subscribes within 90 days, you receive credit for the referral. First-click attribution applies — the first affiliate link a visitor clicks gets the credit.

Self-referrals (signing up through your own affiliate link) are not permitted and will result in commission forfeiture.

6. Evaluation Period

Each referral has a 90-day evaluation period from the date of their subscription. Commissions for that referral are held during this period. If the referred user remains an active subscriber after 90 days, the held commissions are released. If the referred user cancels or requests a refund within 90 days, no commission is earned for that referral.

7. Payment

Commissions are paid monthly, on or around the 15th of each month, for commissions that have cleared the evaluation period in the prior month. Minimum payout threshold is $50. If your balance is below $50, it rolls over to the next month.

Payments are made via PayPal or bank transfer (where available). You are responsible for providing accurate payment information and for any taxes owed on your affiliate earnings.

8. Promotional Guidelines

As an Affiliate, you may promote 1MinuteReel through your website, blog, social media, email list, YouTube channel, podcast, and other owned channels. You must follow these guidelines:

  • Honest representation. All claims about the Service must be truthful and accurate. Do not make guarantees about earnings, results, or capabilities that the Service does not provide.
  • FTC disclosure. You must clearly disclose your affiliate relationship in all promotional content as required by the Federal Trade Commission. Example: "This post contains affiliate links. I may earn a commission if you subscribe."
  • Brand usage. You may use the 1MinuteReel name and logo in your promotions. Do not alter the logo or use it in a way that implies official endorsement or employment.
  • No spam. Do not send unsolicited emails, messages, or bulk communications to promote your affiliate link.
  • No paid ads on brand terms. Do not bid on "1MinuteReel", "1 Minute Reel", or similar branded keywords in paid search or social advertising without prior written approval.
  • No misleading tactics. Do not use fake reviews, fake urgency, misleading comparisons, or deceptive landing pages.

9. Prohibited Activities

The following activities will result in immediate removal from the Program and forfeiture of all unpaid commissions:

  • Cookie stuffing, click fraud, or any form of artificial referral generation
  • Self-referrals or referring fake accounts
  • Using the affiliate link in paid advertising on branded keywords without approval
  • Misrepresenting the Service, its features, or its pricing
  • Any activity that violates our Terms & Conditions
  • Any activity that violates applicable laws or regulations

10. Relationship

Affiliates are independent contractors, not employees, agents, or partners of Designatic, LLC. You have no authority to bind us to any agreement or obligation. Nothing in these Affiliate Terms creates an employment, partnership, or joint venture relationship.

11. Modification and Termination

We reserve the right to modify commission rates, program terms, and cookie duration with 30 days' notice to active Affiliates. Changes will be communicated via email.

Either party may terminate the affiliate relationship at any time. Upon termination: (a) you must immediately stop using your affiliate links and remove promotional materials; (b) commissions that have cleared the evaluation period will be paid out in the next payment cycle; (c) commissions still in evaluation will be forfeited.

12. Limitation of Liability

Our total liability to any Affiliate under this Program shall not exceed the total commissions paid to that Affiliate in the 12 months preceding the claim. We are not liable for any lost commissions due to technical issues, tracking failures, or third-party cookie-blocking.

13. Governing Law

These Affiliate Terms are governed by the laws of the State of Colorado. Disputes shall be resolved in accordance with the dispute resolution provisions in our Terms & Conditions.
